This End User License Agreement ("Agreement") governs use of the Leadstone MCP integration (the "Application"), a private software application operated by Leadstone ("we", "us", "our") that connects to third-party services, including Intuit QuickBooks Online, on behalf of its authorized operator. The Application is a private, internal-use tool and is not offered to the general public. By installing, accessing, or using the Application, you agree to this Agreement. If you do not agree, do not use the Application.
We grant the authorized operator a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Application solely for the operator's own internal business purposes, subject to this Agreement.
The Application authenticates to connected services using OAuth 2.0 and retrieves data on a read-only basis — such as company information, customer records, invoices, and financial reports (Profit & Loss, Balance Sheet, and Accounts Receivable aging) — and presents that information to the authorized operator through an AI assistant interface. The Application does not create, modify, or delete data in any connected QuickBooks Online company.
You agree that you will not: (a) use the Application other than for your own authorized business use; (b) share or disclose access credentials or authorization tokens; (c) reverse engineer, decompile, resell, rent, sublicense, or distribute the Application; (d) use the Application to access data you are not authorized to access; or (e) use the Application in any manner that violates the Intuit Developer Terms, the QuickBooks Online Terms of Service, or any applicable law or regulation.
The Application depends on third-party services, including Intuit QuickBooks Online (data source), Google Cloud Platform (server hosting), and Anthropic (the Claude AI interface). Your use of those services is governed by their respective terms. Intuit and the other providers are not parties to this Agreement, make no warranties regarding the Application, and have no liability to you in connection with it.
Your use of the Application is also governed by our Privacy Policy, which describes what data the Application accesses and how it is handled. You are responsible for ensuring you have the right to connect any QuickBooks Online company and to process the data it contains.
The Application, including all associated source code, designs, and materials, is and remains our property. No rights are granted except the limited license expressly set out in this Agreement.
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Application will be uninterrupted, timely, secure, or error-free.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING OUT OF OR RELATING TO THE APPLICATION OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
This license is effective until terminated. It terminates automatically if you breach any term of this Agreement. You may terminate at any time by ceasing use of the Application and revoking its access in your connected accounts (for example, by disconnecting it in Intuit / QuickBooks Online). Upon termination, you must stop using the Application.
We may update this Agreement from time to time. Material changes take effect when the updated Agreement is posted, and continued use of the Application after that constitutes acceptance.
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
